Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the TealTag iOS application (“the App”) or the TealTag website at tealtag.com and scan.tealtag.com (“the Website”), operated by Cognitales (“we,” “us,” or “our”). Together, the App and Website are referred to as “the Service.”

Acceptance of Terms

By downloading, installing, or using TealTag, or by accessing the Website, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Description of Service

TealTag is a retail technology platform that enables showroom managers and retailers to:

  • Create and manage digital product catalogs
  • Generate AI-powered product imagery
  • Link physical QR code stickers to digital product pages
  • Share product information with customers via QR-powered web pages
  • Create and manage quotes and promotions

The Service includes both the iOS application for retail management and the web-based product viewing experience for end customers.

Eligibility

TealTag is a business-to-business platform intended for use by retail professionals and authorized representatives of retail businesses. You must be at least 18 years old to create an account and use the Service.

Account Registration

To use the App, you must create an account using Apple Sign-In, Google Sign-In, or passwordless email login. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized access to your account

User Content

Your Content

You retain ownership of all content you create, upload, or input into TealTag, including:

  • Product information, descriptions, and pricing
  • Product photos and images you upload
  • Business and store details
  • Quotes and promotional materials

You grant us a limited, non-exclusive license to store, display, and process your content solely for the purpose of providing the Service.

AI-Generated Content

TealTag offers AI-powered image generation features. Regarding AI-generated content:

  • AI-generated images are created based on your style selections and product context
  • You may use AI-generated images for your business purposes within the Service
  • AI-generated content is provided “as is” — we do not guarantee that generated images will meet specific quality, accuracy, or aesthetic standards
  • You are responsible for reviewing AI-generated content before using it in customer-facing materials
  • We reserve the right to modify, update, or discontinue AI generation features at any time

Prohibited Content

You agree not to upload or generate content that:

  • Infringes on any third party's intellectual property rights
  • Is unlawful, defamatory, obscene, or harmful
  • Contains malware, viruses, or malicious code
  • Misrepresents your products or business in ways that deceive consumers
  • Violates any applicable laws or regulations

Acceptable Use

You agree to use TealTag only for lawful business purposes. You must not:

  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Use the Service to distribute spam, malware, or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service without our permission
  • Interfere with or disrupt the Service or its servers
  • Use the Service in any way that could harm, disable, or impair it
  • Resell or redistribute the Service without our permission
  • Use the AI features to generate content that violates our content policies or applicable law

QR Codes and Product Pages

QR Code Usage

  • QR codes generated or linked through TealTag are intended for use on physical product labels and signage
  • You are responsible for the accuracy of the product information displayed on QR-linked product pages
  • Product pages are publicly accessible to anyone who scans the QR code

Public Product Pages

When a QR code is scanned, the linked product page is displayed on scan.tealtag.com. You acknowledge that:

  • Product information on these pages is publicly visible
  • We are not responsible for how third parties use publicly displayed product information
  • You must ensure that publicly displayed information complies with applicable consumer protection and advertising laws

Subscriptions and Payments

Subscription Plans

TealTag may offer subscription plans with different feature tiers. Subscriptions are managed through the Apple App Store.

Billing

  • All subscription payments are processed through Apple's in-app purchase system
  • Billing terms, renewal, and cancellation are governed by Apple's terms and your App Store account settings
  • Prices may change with notice; changes apply at the next renewal period

Refunds

Refund requests for subscription payments should be directed to Apple through the App Store, as Apple processes all payment transactions.

Intellectual Property

Our Rights

TealTag, including its design, code, features, branding, and documentation, is owned by Cognitales and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand identity.

Your Rights

You retain full ownership of your business data, product content, and uploaded images. Content you create within TealTag remains yours.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; AI-GENERATED IMAGES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; PRODUCT PAGE AVAILABILITY WILL BE CONTINUOUS OR GUARANTEED; DATA TRANSMITTED THROUGH THE SERVICE WILL BE COMPLETELY SECURE.

AI-generated content is provided as a creative tool and does not constitute professional design, marketing, or legal advice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COGNITALES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES; LOSS OF DATA OR BUSINESS INFORMATION; INTERRUPTION OF BUSINESS OPERATIONS; COST OF PROCUREMENT OF SUBSTITUTE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Cognitales from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Content you create, upload, or generate through the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights

Service Modifications and Termination

Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the Service.

Account Termination

  • You may stop using the Service and request account deletion at any time by contacting us
  • We may suspend or terminate your account if you violate these Terms
  • Upon termination, your right to use the Service ceases immediately
  • We will make your data available for export upon request for a reasonable period following termination

Third-Party Services

TealTag integrates with third-party services including Apple, Google, Supabase, and cloud infrastructure providers. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Atlanta, Georgia.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the “Last Updated” date at the top of this page and, for significant changes, through the App. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cognitales regarding the use of TealTag.
